Terms and Conditions of Sale and Participation

These Terms define the conditions of registration, sale of passes and participation in the Afrinov Tech Expo event, organized by the Organizer at T9 - Cimenterie, Commune de Matoto, Conakry (Guinée). Definitions: - Event: the edition of Afrinov Tech Expo and all associated activities (conferences, workshops, exhibition, networking, etc.). - Pass: an access title, free or paid, personal and nominative, granting participation according to the chosen category. - Participant: any registered person, whether visitor, exhibitor, partner, speaker, startup, investor or any other available profile. The event offers free passes (notably for certain visitors) and paid passes or services (notably exhibitors, partners and certain categories). The articles relating to prices, payment and refunds apply only to paid registrations.

Registration online or by any other means constitutes express acceptance of these Terms, which the Participant acknowledges having read and understood. Partial or conditional acceptance is deemed void. The Organizer reserves the right to amend these Terms at any time. The applicable Terms are those in force on the date of registration. In the event of a substantial change, already-registered Participants are informed by an appropriate means.

3.1 Process Registration is made online at https://www.afrinovtechexpo.com, by email at info@afrinovtechexpo.com or by phone at +224 626 959 538. 3.2 Validation Free registration is final after receipt of the complete form and confirmation by the Organizer. Paid registration is final only after full payment has been received and a confirmation sent. 3.3 Accuracy of Information The Participant warrants the accuracy, sincerity and currency of the information provided. Any false, incomplete or fraudulent information may result in refusal or cancellation of the registration, without refund. 3.4 Account and Credentials The Participant is solely responsible for the confidentiality of their credentials and for all activity carried out from their account. They shall notify the Organizer without delay of any unauthorized use. 3.5 Access Conditions Certain categories (exhibitor, partner, investor, etc.) are reserved for professionals or subject to prior validation by the Organizer, who may refuse a registration without having to justify it.

4.1 Prices Prices of paid passes and services are indicated on the Website, in GNF (Guinean Francs) and/or USD (US Dollars). They are inclusive of all taxes applicable under Guinean regulations. 4.2 Price Changes Prices may be changed at any time and without notice (notably according to sales periods). The applicable price is that in force at the time the registration is validated. 4.3 Offers and Discounts Promotional offers, preferential rates and discounts are subject to conditions, non-cumulative unless stated otherwise, and valid within the limit of available places and the indicated dates.

5.1 Payment Methods Bank card (Visa, Mastercard), bank transfer, Mobile Money (Orange Money, MTN Money) or any other means offered on the Website. 5.2 Deadline Unless stated otherwise, full payment is due immediately. Failing this, the Organizer may cancel the reservation and release the places for sale. 5.3 Payment Default In the event of non-payment, partial payment or bank rejection, the Organizer reserves the right to refuse access to the event and to suspend any service, without compensation.

6.1 Final Sales — No Right of Withdrawal Paid passes and services are entered into for the purposes of the Participant's professional activity. Accordingly, the professional Participant does not benefit from any right of withdrawal. Any validated sale is firm and final. 6.2 Cancellation by the Participant Save for any more favorable specific condition expressly accepted by the Organizer, no refund is due in the event of cancellation by the Participant, no-show, lateness, personal impediment, visa refusal, illness or any other cause specific to them. 6.3 Non-transferability and Resale Prohibition Passes are strictly personal and nominative. Any assignment, resale, exchange or provision of a pass to a third party is prohibited without the prior written consent of the Organizer and may result in cancellation of the pass without refund and refusal of access. 6.4 Cancellation or Postponement by the Organizer In the event of postponement of the event, passes remain valid for the new date, without refund. In the event of outright cancellation of the event by the Organizer (excluding force majeure), a Participant who has paid for a pass may obtain, at their choice, the postponement of their registration to the following edition or a refund of the pass price only, excluding any other fees, damages or compensation (notably transport, accommodation, loss of earnings). 6.5 Force Majeure In the event of force majeure within the meaning of Article 11, the event may be postponed, shortened or cancelled without any refund or compensation being due by the Organizer. 6.6 Program Modification The Organizer reserves the right to modify, without giving rise to any refund or compensation: the program, themes, speakers, schedule, format (in-person/remote) and, within the Conakry area, the venue of the event.

7.1 Badge A nominative badge is issued to each registered Participant. It is personal, non-transferable and must be worn visibly throughout the event. 7.2 Access Control The Organizer may refuse or withdraw access to any person: without a valid badge; whose behavior breaches these Terms or the venue rules; under the influence of alcohol or illicit substances; or presenting a risk to safety or to the proper running of the event. No refund is due in these cases. 7.3 Hours Opening hours are communicated before the event. Access may be closed early for capacity or safety reasons.

The Participant undertakes to behave respectfully and professionally. The following are notably prohibited: any insulting, discriminatory, defamatory, obscene, threatening or harassing remark or behavior; any intimidation, physical or verbal violence; abusive soliciting, mass sending of unsolicited messages; and any harm to persons, property or the proper running of the event. Any breach may result, without notice or refund, in immediate exclusion from the event, suspension of access to services and, where applicable, legal proceedings.

The Participant complies with the safety instructions and venue rules. The Organizer and its security providers may carry out identity checks and inspect personal belongings; refusal to comply results in refusal or withdrawal of access without refund. The following are notably prohibited: weapons, explosives, flammable or dangerous substances, sharp or blunt objects, as well as any object or material of a political or religious nature or likely to disturb public order. Any breach may result in immediate exclusion without refund and, where applicable, in prosecution. The Participant is responsible for their personal belongings. The Organizer disclaims any liability in the event of loss, theft or damage to personal items.

10.1 Best-Efforts Obligation The Organizer is bound by a best-efforts obligation and takes the necessary care for the proper running of the event. 10.2 Exclusions The Organizer cannot be held liable in the event of force majeure, the act of a third party, the Participant's fault, or any indirect or intangible damage (notably loss of operations, loss of revenue, loss of earnings, harm to image, transport or accommodation costs). 10.3 Cap In any event, and to the extent permitted by law, the Organizer's liability, on all grounds combined, is limited to the amount actually paid by the Participant for their registration. These limitations do not apply in the event of willful misconduct or gross negligence by the Organizer.

Force majeure means any event beyond the reasonable control of the Organizer, including: natural disaster, bad weather, fire, epidemic or pandemic, health or governmental measure, state of emergency, war, terrorist attack or threat, civil unrest, strike, power, network or telecommunications outage, or failure of an essential provider. In the event of force majeure, the performance of the Organizer's obligations is suspended. The Organizer may postpone, shorten or cancel the event without any refund (subject to Article 6.4), compensation or damages being due.

The Participant is liable for any damage they cause, directly or indirectly, to persons, property, facilities or the Organizer. They indemnify the Organizer against any third-party claim arising from their actions. The Participant is solely responsible for the content they present, disseminate or publish in connection with the event and warrants that they hold all rights thereto. It is their responsibility to take out the insurance necessary for their participation.

The event is subject to photographic and audiovisual recording. By participating, the Participant expressly authorizes the Organizer, free of charge, to capture, reproduce, represent and exploit their image and voice, on any medium, worldwide and for the maximum legal duration of protection, for communication, documentation and promotion of the event and its future editions. A Participant who does not wish to be individually identified may notify the Organizer at info@afrinovtechexpo.com; the Organizer will then endeavor, as far as possible, not to use visuals in which they appear in the foreground.

The Afrinov Tech Expo trademark, logos, content, materials, databases and elements produced by the Organizer are protected and remain its exclusive property. No reproduction or exploitation is authorized without prior written consent. Content presented by Participants (presentations, materials, demonstrations) remains the property of their respective authors and may not be reproduced by third parties without their authorization.

Personal data collected is processed in accordance with the Privacy Policy available on the Website and applicable regulations. When an exhibitor or partner collects Participants' data (for example by scanning a badge), they act as an independent data controller and undertake to comply with applicable regulations, to inform data subjects and to use such data only for legitimate and proportionate purposes.

Participation as an exhibitor or partner is governed by these Terms and, where applicable, by a specific exhibition contract or regulation which prevails in the event of conflict. The exhibitor is responsible for their stand, staff, equipment and compliance with safety standards.

Any complaint must be addressed in writing to the Organizer (AFRIC INNOVATION TECHNOLOGIE) at info@afrinovtechexpo.com or +224 626 959 538, within fifteen (15) days following the end of the event. After this period, no complaint can be taken into account.

The Organizer may freely assign or transfer all or part of its rights and obligations under these Terms to any company in its group or to any third party, notably in connection with the organization of the event, without requiring the Participant's consent.

19.1 Entirety These Terms constitute the entire agreement between the parties relating to their subject matter. 19.2 Severability If any provision hereof is held void or unenforceable, the remaining provisions shall retain full effect. 19.3 No Waiver The Organizer's failure to invoke a provision shall not constitute a waiver of its right to invoke it later. 19.4 Tolerance No tolerance, whatever its frequency or duration, may be interpreted as creating an acquired right for the Participant.

These Terms are governed by Guinean law. In the event of a dispute, the parties shall endeavor to find an amicable solution. Failing agreement within sixty (60) days following the first written complaint, the dispute shall be submitted to the exclusive jurisdiction of the courts of Conakry (Republic of Guinea).
